This Privacy Policy (“Policy”) explains how All Deals (“Company,” “We,” “Us,” “Our”) gathers, uses, discloses, and protects User (“User”, “You”, “Your”) information in relation to the Company website, browser extension, mobile applications, mobile website (“Site” or “Website”), and any other associated services that link or refer to this Policy (“Service” or “Services”). By continuing to use this Site, You hereby acknowledge that you accept and understand the terms of this Policy. If You do not agree to the terms herein, Your sole remedy is to stop using this Site immediately.

Information Collection.
1. How We Collect Data and Information. We use, gather, and process Your data whenever You do any of the following: (i) engage with Our Services; (ii) register to use Our Services; (iii) access or install Our Services through Our browser extension, mobile application, or other applications; (iv) reach out to Us for support; (v) interact with Our Services through email accounts, business partners, social media accounts, or other third parties; (vi) Respond to a survey or poll; or (vii) enter a contest, promotion, or sweepstakes. As such, We are entitled to collect Your data when You directly provide certain information, data, or otherwise to Us. We obtain information and data about You automatically by using “cookies”, log processes, location technology, and other tracking technology when You install Our browser extension, install Our mobile application, or use Our Services online. Third parties may also collect Your information and data, including when You connect to Our Services through a business partner site, third-party service, or other affiliated entity.
2. Types of Data and Information We Collect. We may collect the following types of personal information about You:
  1. Any personally identifying information that You directly supply to Us through Our Services, which may include Your first and last name, email address, postal address, phone number, and tax information as required for sweepstakes, promotions, or contests;
  2. Any personally identifying information We gather through Your use of Our Services, including IP addresses, device identifiers, system configuration information (including device, session IDs, and operating systems), and any connected hardware information (related to Your computer, device, or carrier);
  3. Records of customer information, including payment information like account names, account numbers, and card billing addresses and expiration dates.
  4. Classification characteristics that are protected, including age, gender, marital status, household income, or any other included classification information protected under California law, but only demographic information that You provide in a direct survey response which You can identify;
  5. Commercial information about Your product or Service purchasing, viewing, clicking, or visiting history in connection with Our Services, including transaction history, loyalty currency information (such as cash-back), and information relating to merchants, products, and coupons You searched for, viewed, or clicked.
  6. Network and internet activity (for example search history, browsing history, and use of Our Services), including: (1) anything you search, click, view, and/or otherwise engage with, including those actions conducted on merchant sites visited by way of Our mobile application; (2) website URLs You visited, including URLs tracked by Our browser extension; (3) date and time information related to Your searching, browsing, and clicking activity; (4) clickstream information, which tracks what You click on as You move from page to page using Our Services, including any website You visited prior to visiting Our Site; and (5) should You choose to sign into Our Services or create an account for Our Services through Google or another linked email account, Your email Inbox Material.
  7. Location information, including geolocation if Your device is set to share it as well as location preferences You provide while using Our Services;
  8. Audio information, including voice audio recordings from phone calls to Us as allowable by law; and
  9. Our own conclusions from the information We collect about you, including assumptions regarding Your conduct, personal characteristics, preferences, and attitudes.

All data and information described in this Section 1b(i)-(ix), shall hereinafter be referred to collectively as “Information”, or “Personal Information.”

Use of Information We Collect. Any Information We gather from or about You may be used for commercial and business purposes, including, but not limited to, the following:

Providing Services and Account Management. We are entitled to collect Your Information to provide Our Services and better manager Your account, including, but not limited to, purposes such as: (i) ensuring Your email address is active and valid, enroll you in Our Services, and otherwise process Your registration for Our Services; (ii) track Your preferences and transaction history as well as oversee Your Services account, such as monitoring Your favorite stores, merchants, and preferred locations as well as Your transaction history; (iii) oversee Your purchase transactions and/or orders; (iv) provide rewards and/or payments as well as opportunities for rewards and other offers; (v) send relevant messages and updates to You, including those related to security and the management and technical operation of Our Services, and; (vi) deliver account support and get back to You regarding any requests, inquiries, or comments.
Service Enhancement and Personalization. In order to customize Our Services to Your preferences to ensure that Your experience using Our Services is of interest to You, We may use Your Information to help tailor Our Services to You specifically. For instance, Your purchase or visit history can be used to provide more personalized offers, such as those for stores similar to those You have previously purchased from as well as those we believe may be of interest to You, online or in-store. If Your Services account is created through Google or another linked email account, We are entitled to use the Information from email content from any linked inbox, including purchase and order history, (“Inbox Material”) to personalize Your experience on Our Services and to verify Your eligibility for User Commission (as defined in Our Terms of Use [https://alldeals.com/terms-of-use]) more efficiently. We will comply with the Google API Services User Information Policy (https://developers.google.com/terms/api-services-user-information-policy), including any requirements related to Limited Use. If You wish to alter Inbox Material settings, You can do so as later described in the terms of this Policy. Additionally, any Information We gather about You may also be used to help track tendencies and carry out statistical analyses to help improve Our Services, including the products and services of Our business partners, Websites, applications, and marketing efforts.
Marketing. We are entitled to use Your Information, excluding Inbox Material, to help tailor Our Services to You, including providing customized offers, discounts, newsletters, reward offers, promotion codes, targeted advertising on third-party websites, Information about Our Services, as well as offers from merchants, which We may communicate to You via email, online advertising, or other means. You are permitted to manage how We communicate with You in relation to Our marketing efforts, such as opting out of specific uses of Your Information, specifically for targeted advertising. The terms provided herein are subject to those rights granted to California residents, relating to California residents and opting out of targeted advertising, as discussed in this Policy.
Protection. Any information We gather may be used to look into and minimize fraudulent or malicious activity in Our Services, enhance Our security procedures, and evaluate threats or risks. Any Information We gather may also be used in asserting or defending Our legal rights against outside parties.
Applicable Law Compliance. Any Information We gather may be used to help Us comply with any applicable laws, rules, regulations, and judicial authorities in every geographic area in which We offer Our Services.
Sweepstakes, Contests, Surveys, Promotions, and Polls Administration. Should You participate in any of Our sweepstakes, contests, surveys, promotions, or polls, Your Information may be used to help carry out such a program, including, but not limited to, the determination of eligibility or delivering a reward from such program. Any survey or poll feedback You choose to provide to Us will be disassociated with Your account and shall be used to help Us gather Information on developments in shopping trends or other insights.
Referral Program Administration. Should You participate in Our referral program, You will provide Your referral’s email address so that We can invite the referral to use Our Services by way of email. The Information You provide will only be used to send this invitation and oversee Our referral program’s success. By participating in Our referral program, You represent and warrant that You are personally associated with the person You are referring and that You are authorized to provide their personal Information to Us so that We can invite them to use Our Services. If You believe that someone You know has provided Us with your Information and You do not wish for Us to have that Information, please reach out to Us at [[email protected]] so that We can remove your Information from Our system.

3. Disclosure for Commercial and Business Purposes. We are entitled to disclose Information for commercial and business purposes, including, but not limited to the following parties:

Service Providers. Any of Your Information We gather may be shared with third parties, including, but not limited to, Company affiliates, who conduct business for Us or on Our behalf, all in compliance with appropriate security measures to ensure that Your Information is protected from any unauthorized use. This includes partnering with third parties to provide You Our Services and other programs such as support services, payment processing, referral programs, sweepstakes and promotions, surveys and polls, analytics, information base maintenance, authentication services, marketing and communication services, gift card purchasing, product and order fulfillment, reward and payment programs, and the prevention of fraudulent activity on Our Services.
Business Partners. In order to provide You with Our User Commission shopping Services, We may share Your Information, as specified below, with the following third-party business partners:
1. Affiliate Partners. While using our Services, when You access a merchant site through a link to begin Your User Commission shopping and thus indicate that You want to interact with a business through Our Services, You thus allow Us to share specific Information about You with an affiliate network so that We can oversee Your purchases. This includes Information that helps Us track Your shopping activity, such as the link You clicked while using Our Services and the tracking ID assigned to You to verify that Your interaction with that merchant came from Our Services. However, We are entitled to disclose Information directly to merchants who do not use an affiliate network. Affiliate partners may collect internet and network activity Information, with the exception of Inbox Material, regarding Your use of Our Services in relation to their site, products, or offers, which may be used either by the affiliate partner to track Your shopping or to develop its own user profiles, or by the affiliate partner’s clients. As such, the disclosure of certain Information to affiliate partners may constitute a “sale” of Your Information as defined in the California Consumer Privacy Act of 2018 (“CCPA”). Thus, as described by the terms of this Policy, California consumers may opt-out of allowing this Information disclosure to affiliate partners, except to the extent necessary to carry out Our Services and provide You User Commission through that affiliate partner. If You are a California resident, specifically targeted and personalized offers We provide via Our Services to benefit certain merchants may constitute a “sale” of Your personal Information under CCPA, in which case You may opt-out.
2. Referral Marketing Partners. We may share Your Information with particular referral marketing partners so that We can increase the ways in which You are able to learn about and sign up for Our Services through third- party sites to begin Your User Commission shopping. For instance, We may share Your Information with a third-party business partner if You discover Our Services through that third-party website in order to authenticate the referral and activate Your account on Our Services. We may also share Information related to Your recent purchases or browser extension or mobile application usage with partners in order for partners to also be able to personalize their site content for You. Again, if You are a California resident, You may opt-out as described in the terms of this Policy, as this disclosure may constitute a “sale” of your personal Information under CCPA.
3. Financial Partners. We are entitled to share Your Information with financial business partners for the purpose of marketing and providing other redemption alternatives for Your User Commission if applicable, which may include All Deals related companies. We are entitled to disclose Your Information with financial partners to facilitate transactions if You choose to receive Your User Commission through loyalty points or other alternatives made available to You by Us. We may also disclose Your Information to Our financial partners if You wish to obtain information from those financial partners so that they can provide that Information to You. Information disclosed to financial partners to aid their marketing efforts may constitute a “sale” of Your personal Information under the CCPA. Again, if you are a California resident, you may opt-out of targeted marketing, as discussed in the terms of this Policy.
Digital Advertising Providers. To help Us advertise and market Our Services on other websites, third parties may automatically obtain internet and network activity Information relating to Your usage of Our Services, including browsing history, clicked links, and pages visited. This Information, including, but not limited to any Information related to Your online activities across different websites, may then also be used by these third parties for their own purposes, such as anticipating Your preferences and showing You advertisements displayed by them or other third parties, that may be of interest to You. This Policy, however, does not cover the usage of Your Information by third parties. Please visit http://www.aboutads.info/choices/ if You are not interested in allowing Your Information to be used for interest-related advertising. Information disclosed with third parties for purposes of targeted advertising may constitute a “sale” of Your personal Information under the CCPA. If You are a California resident, You may opt-out of targeted advertising, as discussed in the terms of this Policy.
Other All Deals Companies. We work in conjunction with Our closely affiliated companies and businesses and provide Your Information for purposes of internal business administration. Of those previously discussed business partners with whom Your Information is shared by Us, some may include Our own associated companies. We are also entitled to share certain personal Information, including, but not limited to, email address, metrics of products, and network and internet activity, excluding any inbox data, with any of Our associated companies or affiliates. Sharing such Information shall be for the purposes of Our corporate partners and affiliates to monitor and analyze any trends in usage to further improve their website and services, as well as for planning on a strategic level for Our All Deals associated companies. To remove Yourself from this form of sharing, You are entitled to use Our Do Not Sell My Personal Information Opt Out Request functionality which can be found at www.alldeals.com/ccpa-opt-out.
All Deals Login Functions. Should we, at any time, make available a program that allows Your login process to be connected through a single function, by sharing your Information with Our affiliated companies (“All Deals ID”), Your information shall only be shared with such affiliated companies where You so choose to utilize and connect to this provided function. Upon connecting to an affiliated site that utilizes the All Deals ID function, You are explicitly authorizing and directing Us to share Your Information with the affiliated company. The Information that shall be shared with such companies includes profile information, such as username, password, and email address, and other necessary payment and identification Information, such as address and first and last name, that may be stored in Our Service through the All Deals ID function. However, so long as You do not connect to another associated All Deals company that uses the All Deals ID function, such aforementioned Information shall only be distributed to Our immediate parent company, All Deals. Should you wish to discontinue the use of Our All Deals ID function on any of the participating sites, You may contact Us directly at [[email protected]] for a comprehensive list of all associated sites and services that have access to Your All Deals ID Information, so that You may contact such services and sites directly.

4. Disclosure for Legal Purposes. We are entitled to disclose Information We gather, including personal Information, to the extent permissible under the applicable laws of the relevant jurisdiction, (i) in responding to any legal processes (including subpoenas) or if, in Our good faith opinion, that disclosure is necessitated or allowable by law without a specific disclosure; (ii) in compliance with governmental authorities in the performance of an investigation; (iii) for the enforcement of Our terms and conditions or other Service-related policies; and (iv) to protect Our rights, safety, health, security, property, and life or those of any third party.

5. Disclosure for Transfers of Business Assets. Your Information may be disclosed with third parties in connection with or related to any potential or actual acquisition, merger, purchase, sale, including, but not limited to, liquidation, realization, foreclosure, or repossession, or other forms of acquisition of all or any portion of Company assets as well as the transfer or conveyance of all or a portion of Our business to another company. In these cases, the involved third-party company is contractually obligated to abide by this Policy as well as any applicable laws in the use of Your Information, unless it provides You notice of any new or materially different practices in the use of Your information. We also may disclose Information that is not reasonably identifiable as Your Information, or that has been aggregated.

6. Updating Account. In order to ensure that the Information You provide to Us on Our Services is accurate, please log into Your account to update Your Information in the relevant account settings.

7. Communications Preferences

1. Email Marketing. You may receive digital and physical mail communication from Us, such as promotional communications, when You register for an account through Our Site. Should You wish to opt-out of receiving these communications, You are permitted to do so by following the instructions provided in those communications, changing Your account settings, or contacting Us directly. If You opt-out of receiving these communications, We may still send You communications that are non-promotional in nature, as allowable by law, including communication related to Your account, such as order confirmations, payment information, reward updates, or replies to any questions or feedback You submit to Us, and communication related to Our continued relationship in the Services We provide to You through Our Site.
2. Mobile Application Notifications. Our browser extension and mobile application may be configured to Your notification preferences in the relevant settings, such as controlling push notifications and alerts.
3. SMS Messaging. If You provide Your mobile phone number and agree to receive mobile messaging, We may use SMS messaging to contact You for account and support-related purposes, including account maintenance, customer support, and account recovery updates. You may remove Your mobile phone number from Your account settings or reply STOP to messages received on Your mobile phone if You wish to opt out of these messages.
Information Collection and Sharing Preferences. There may be some circumstances in which You are able to refrain from disclosing certain Information to Us. Your failure to provide Us with certain Information, however, may affect Your continued use of Our Services and any related features previously made available to You when such missing information is necessary for the functionality of a part or feature of Our Services.
Inbox Linking. If You wish to unlink Your email account from Our Services, You are permitted to do so by turning off the connection or updating Your email information in Your account settings. After You unlink an email account from Our Services, We will not gather Inbox Material from that account.
Mobile App/Browser Extension. When installed, Our browser extension and mobile application allow Information relating to Your online behavior on the browser or device to be gathered. If You wish, You may prevent this Information from being gathered by uninstalling the browser extension or mobile application. In some cases, You may be able to opt-out of specific types of Information collection through the browser extension or mobile device Settings.

8. Notice to Residents of California. This section applies only to residents of California. If You are a California resident, You have specific rights relating to Your Information, subject to exceptions, under the California Consumer Privacy Act of 2018 (“CCPA”).

Right to Know and Access. You have the right to know and access Your personal Information that We have gathered, used, shared for business purposes, and sold during the previous 12 months. This includes source categories from which We acquired Your Information and the types of third parties with whom we shared Your Information for business purposes or to whom we have otherwise sold Your Information. You have the right to request in writing from Us, copies of the following Information We gather that is unique to You: (i) categories of Information We gathered about You over the previous 12 months; (ii) the particular personal Information We have gathered about You, with the exception of sensitive personal Information We may retain in responding to such a request; (iii) the source categories from which We acquired Your Information; (iv) the purpose of the gathering of such Information about You; (v) the types of third parties to whom We disclosed Your Information, including whether We shared that Information for a business purpose; (v) the categories of Information We shared with which third parties; and (vi) whether or not We sold Your Information.
Right to Request Deletion. Subject to specific exceptions, You have the right to ask Us to remove any Information We have gathered from You or keep about You in Our system. If You ask that We remove Your personal Information, We will do so to the extent that the Information removed is not necessary for business purposes and the Information maintained is done so within Our legal right, in which case You will be informed.
Right to Opt-Out of Sale of Your Personal Information. The sharing of Information about You with merchant partners, third parties, or affiliates for the purpose of providing You benefits and rewards or targeted marketing, may constitute a “sale” of your personal Information under the CCPA to the extent that We receive monetary or other consideration for doing so. If You are a member, You can exercise Your Information privacy rights by visiting [www.alldeals.com/ccpa-opt-out]. Please be aware that We may be unable to offer You portions of Our Services which necessitate the sharing of certain Information to the extent You opt-out. Right to Non-Discrimination. If You exercise any rights applicable under the CPPA, We will not discriminate against You. If You request to know, access, or remove Your Information or opt-out of its sale, We will not do any of the following, unless otherwise allowed by the CCPA: (i) deny You products or Services; (ii) charge You different prices for products or Services, including the granting of discounts or benefits or imposing penalties of any kind; (iii) give You a different level of quality of products or Services; or (iv) insinuate that You may receive a different rate, price, or level of quality for products or Services.
Implementing Your CCPA Rights to Know, Access, and Request Deletion. If you wish to exercise Your privacy rights under the CCPA, please email us at [[email protected]], so that We can verify Your identity. If there is a problem in verifying Your identity based on the Information We have on file, We may ask for further Information for the sole purpose of verifying Your identity, maintaining security, or preventing fraud.
Agents. Requests related to Your Information can only be made by You or another person legally authorized to act on Your behalf. In the instance that an agent makes a request on your behalf, We may require proof from You that the agent is authorized or that the agent has the power of attorney in connection with the request. Additionally, in these circumstances, We may require that You independently verify Your identity.

Note that We are not obligated to respond more than twice every calendar year to requests to know or access personal Information.

9. International Data Notice to Non-US Residents. This Site and its servers are located and operated in the United States. Those Users outside of the United States should recognize that the Personal Information collected will be transmitted to the United States from the User’s country of origin. Excluding those Personal Information transfers that are governed by the EU-U.S. Privacy Shield and the Swiss-U.S. Privacy Shield Framework, should You decide to permit Us to collect Your Personal Information or provide Us with Your Personal Information, such will serve as Your acceptance and consent of this collected Personal Information being transferred.

10. Your Rights Under the GDPR. The GDPR, effective as of 2018, protects the Personal Information of Users located within the European Economic Area (EEA), which means they are within the member states and member countries of the European Union (EU) at the time of the Site’s use. If You are within the EU, You have the right to certain Information and specific rights under the GDPR. Details on GDPR compliance can be found here. Term of Data Maintenance. We will keep the Personal Information You have given Us unless the earlier of: (i.) You ask us to delete your Personal Information (Art. 17(1) GDPR) or (ii.) We conclude We don’t need Your Personal Information anymore (Art. 17(1)(a) GDPR) or (iii.) We decide the value in retaining the Personal Information is outweighed by the costs of retaining it (Art. 17(1)(c)). Under the GDPR, You are entitled to ask that We delete any or all Personal Information about You in a timely fashion. However, this right may be subject to certain limitations that could result in the termination of Your account or restrict Your access to Our Site, including, but not limited to, (a) when keeping Your Personal Information may be required by law or required for compliance with certain legal obligations (Art. 17(3)(b) GDPR), (b) where it may be necessary to maintain Your Personal Information for relevant legal claims or associated defenses (Art. 17(3)(e) GDPR), and (c) where it may be necessary for practicing or exercising a right to freedom of Information and expression (Art. 17(3)(a)) GDPR).
Data Requests and Changes. You have the right to access the Personal Information We store (Art. 15 GDPR), the right to rectify such Personal Information (Art. 16 GDPR), and the rights to delete Your Personal Information at any time (Art. 17 GDPR). You are entitled to alter the scope of Your consent of which Personal Information We can retain and how We are permitted to use such Personal Information. When exercising this right, it may be necessary for Us to delete Your account on Our Site or otherwise limit Your access to the features and Content on Our Site. Further, You are entitled to ask for a digital copy of any Personal Information that We have about You, free of charge per the first request, and subject to a reasonable fee for any requests beyond the first (Art. 12 GDPR).
Complaints. You can file a complaint to a supervising authority that has jurisdiction over GDPR issues. Subject to having an EU residency, and only in the member state of Your residence, place of business, or where the alleged wrong has occurred, You are entitled to notify a superior authority of Your dissatisfaction should You believe that We are using Your Personal Information improperly or in a way that infringes upon any of Your rights law or under this Policy. Users that do not reside in the EU are entitled to the rights and protection provided by the relevant jurisdictional laws of their residency (Art. 3 GDPR).
Necessary Information Only. You have the right to provide Us with only Personal Information that is required to enter a contract and/or transaction with Us. We will not require that You consent to any unnecessary processing as a way to compel You to enter into a contract with Us.
Processing. You can request restrictions on the processing of Your Personal Information. Further, You have the right to prohibit Us from processing Your Personal Information moving forward even if You provided consent to Our processing of Your Personal Information; however, past processing of Your Personal Information shall not be considered unlawful. You may be entitled to limit the extent of Your Personal Information’s processing in appropriate circumstances, including when You have objected to such processing or when You are in the process of rectifying, contesting, or correcting the validity and accuracy of Your Personal Information. Where You have adequately requested a restriction on the processing of Your Personal Information, We will no longer transmit Your Personal Information to third-party processors unless We have obtained Your consent; this right is limited only by necessity to protect the rights of You, Our Site, or other Users or to comply with legal obligations. However, We will continue to store Your Personal Information. Transfer of Data. You are permitted to assert the right of portability of Your Personal Information. Communications. We will only require Your Personal Information that is reasonably necessary to enter into a contract with Us. We will not demand that You provide any unnecessary Personal Information as a condition of entering into a contract with Us.
1. Marketing. You are entitled to request that no third-party communications are transmitted to You and that no third-party marketers have Your Personal Information for their own marketing purposes. To do so, You may contact Us at [[email protected]].
2. Email. You are entitled to request that We engage in no further email communications with You. This can be done by selecting the appropriate box upon registration for an account or other engagement with Us. You are also entitled to alter Your communication settings at any time by contacting Us at [[email protected]].
3. Un-Subscription. If You wish to unsubscribe from Our emailing list, You are permitted to email Us at [[email protected]] and We will process Your request promptly. However, We may use the Mailchimp or Hubspot email marketing/management system; therefore, unsubscribing from one list or set of emails might not unsubscribe You from all future emails. Please email Us at [[email protected]] if You have any issues unsubscribing and We will promptly unsubscribe You.

11. Our Promise Under the GDPR. Notice. The following terms shall be entered into and binding upon the user (“You”, “Your”, “User”), including by not limited to those Users who are vendors, browsers, merchants, customers, or content contributors, and this company (“Us”, “We”, “Our”) and shall govern Your interactions, engagements, and use of www.alldeals.com (“Site” or “Website”) and shall further apply to all tools, services, information, and may apply to those which may be ancillary to Our Site (“Service” or “Services”). Your continued use of this Site shall hereby constitute Your agreement to the following terms. Product Denial. We are entitled, in our sole discretion and without notice, to remove or deny any User’s submissions of any products, Content, or Services.
Cancellation. We are entitled, in our sole discretion and without notice, to deny, delay, or cancel any scheduled subscriptions, deals, or points for any or no reason, including without limitation a violation of these Terms of Use; Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringed upon any intellectual property right or other right of any person or entity, threaten the personal safety of users of the Website or the public, or could create liability for the Company; disclose your identity or other information about you to any third party who claims that material posted by you to any third party who claims that materials posted by you violates their rights, including their intellectual property rights or their right to privacy; take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website; Terminate or suspend your access to all or part of the Website for any or no reason, including without limitation any violation of these Terms of Use. Further, in the event of a cancellation or unsuccessful order transaction initiated by You, whether by choice or for reasons beyond your control, You understand and agree that we reserve the right to debit the payment method on file to collect any funds owed to us for order cancellations, outstanding balances, or any other amounts due under the terms of this agreement. Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY OR ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPANY, THE OTHER AFOREMENTIONED PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we cannot review all material before it is posted on the Website and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Transaction Fees.
1. Fee Assessment. By using this platform and participating in promotional deals that result in Deal Points, User Commissions, or any other payment rewards, You agree to the assessment of a Variable Transaction Fee equal to a percentage of the total value of any such deal(s), commission(s), or reward(s). This fee shall be applied to cover administrative, operational, and processing costs associated with the promotion and payout of deals.
2. Calculation of Fee. The Variable Transaction Fee will be calculated (“Variable Fee Calculation”) based on the total deal value before any applicable taxes, fees, or other deductions. The Variable Fee Calculation uses an algorithm to determine the appropriate fee percentage, which can range from 1% to 10% of the total product cost. This fee will be deducted from the total deal value, and the remaining amount will be used for the calculation of deal points, user commissions, or payment rewards.
3. Modification of Fee. We reserve the right to modify the Variable Transaction Fee percentage at our discretion, and any such changes will be communicated to You through the platform's notification system or via email. Your continued use of the platform after such modifications will constitute your acceptance of the updated transaction fee terms.
4. Dispute Resolution. If you believe there has been an error or discrepancy in the assessment of the Variable Transaction Fee, you must promptly notify us through the platform's designated channels, and we will investigate the matter in accordance with our dispute resolution process.
Programs.
1. User Commission and Deal Points. For those purchases which may be completed through Our Site, We provide the opportunity for those who have accounts (“Members”) to receive certain user commission and points, including but not limited to Deal Points, Loyalty Points, gift cards, electronic checks, rewards (“User Commission and Deal Points”). Upon referring customers to brands, merchants, retailers, or other participating partners (“Affiliate Stores”), We may receive compensation from such Affiliate Stores. Upon receiving payment from Affiliate Stores, We give a share of the compensation as Deal Points to Our Members. Our placement, promotion, and visibility of Affiliate Stores on Our Site may be based upon the compensation paid to Us by these Affiliate Stores. Subject to Your agreement to and compliance with this Agreement, engaging in this Site and Our offered Services, as well as the opportunity to obtain Deal Points and User Commission are based on Our sole discretion.
2. In-Store User Commission and Deal Points. If applicable to the current structure and features of this Site, to be entitled to User Commission or Deal Points on purchases made in store (“In Store User Commission and Deal Points”) at the physical retail locations of specific Affiliate Stores, You must first link your card for payment to an offer provided in-store (“Link Offer”). You shall subsequently be required to use the same card for payment to make the transaction for purchase subject to the terms of the Link Offer. Should such terms vary from those provided in this Agreement, the relevant terms associated with the Link Offer shall govern the ways in which the In Store User Commission and Deal Points may be paid and earned.
3. Online User Commission and Deal Points. If applicable to the current structure and features of this Site, to be entitled to User Commission or Deal Points on purchases made online, You must first register for an Account on Our Site and ensure that You are logged in to the Site using the associated Account. You must also use the shopping links that are provided within the Site and subsequently complete Your transaction during the same session that was commended after You initially clicked on the shopping link provided. You may not be entitled to earn User Commission or Deal Points if You visit or browse other sites prior to completing Your transaction on Our Site, as the relevant purchase may not be accurately associated with Our Site. “Cookies” must be enabled on Your computer to earn User Commission and Deal Points because such cookies are used for authentication purposes and subsequently confirm and verify the relevant Account that may be entitled to User Commission or Deal Points.
4. Deal Points Exclusions. Deal Points earnings are calculated from the amount of the net purchase, less any fees, discounts, taxes, credits, gift-wrapping, shipping, cancellations, returns, and extended warranties. Purchasing any gift cards, promotional products, or Affiliate branded products, are not entitled to Deal Points. Further, the relevant Deal Points amount shall vary for each product and store, and similarly may be subject to additional exclusions in the applicable store’s terms, which should always be reviewed carefully and thoroughly.
5. Affiliate Store Limitations. Whereby any Affiliate Store terminates, cancels, or otherwise suspends its relationship with Us, We are not entitled to give away any share of Deal Points associated with the terminating Affiliate Store. Further, no Affiliate Store is entitled to deduct any fees or other costs or expenses from the commission owed to Us, unless otherwise provided for within the terms of this Agreement.
Browser Extension. Should We make a browser extension available to You for improved shopping experiences, Your continued use of Our browser extension shall be subject to Our Terms of Use https://alldeals.com/terms-of-use and will prevail to the extent if the Terms of Use https://alldeals.com/terms-of-use conflicts with or varies from this Agreement.
Store Policies. You hereby understand and agree that Affiliate Stores operate independently and are not subject to Our control. We are in no way an agent for any Affiliate Store. Whether in store or online, all products purchased from any seller or Affiliate Store shall be governed by the policies of the applicable seller or Affiliate Store, including their shipping and exchange policies. Any communications, correspondences, participation in offers and promotions, or otherwise, are exclusively between You and the relevant Affiliate Store. We shall not be liable for any responsibilities or obligations related to such correspondences with Affiliate Stores, or for their related promotions, including, but not limited to, modification, withdrawal, termination, or otherwise of any promotions or offers. Further, We shall not be responsible for any modifications, changes, or discontinuances of any Affiliate Stores, or for the effect on User Commission or Deal Points rewards that may be caused by withdrawal from the Site by such Affiliate Stores.
Bonuses and Other Rewards. We are entitled, but are not required, to offer rewards or additional bonuses for certain actions, such as referring a new Member to the Site. The specific terms associated with and accompanying each offer or reward shall prevail should they conflict or vary from the terms provided in this Agreement. In Our sole discretion, We are entitled to review, and subsequently deny, cancel, or withhold any awards or bonuses which may be unethical, fraudulent, abusive, suspicious, or otherwise inconsistent with the Terms of this Agreement or any federal, state, local or international law or regulation of an applicable jurisdiction. All decisions made by Us shall be final.
Payment of User Commission, Deal Points, Bonuses, and Other Rewards.
1. Requirements. We are entitled to refuse any order or otherwise which You may place through Our Site. To be eligible for User Commission, Deal Points and reward payments, You must do the following: (i) be able to receive emails through providing Your own, valid email address; (ii) create and continue to maintain an Account that is active, as described in the terms of this Agreement; (iii) protect Your account by creating and providing a secure password; and (iv) provide Your valid payment email address or other relevant bank information for payments and Your personal address. You may not use the same payment email address for Your Account that is associated with another Account on Our Site. As a prerequisite to receive payment, We are entitled to reasonable request, and You must provide Us with any additional information that may be necessary to confirm or verify Your identity.
2. Payments for User Commission and Deal Points. To be entitled to User Commission, Deal Points, or other related rewards and bonuses, please refer to the minimum payment amount provided by the relevant membership tier. Any such Account balances below the amount specified per the relevant membership tier shall remain in Your Account for payment during the next period should You qualify for such. We shall pay all Members in U.S. dollars by way of electronic check, or other available payment options that We may choose to make available to Users at our sole discretion. Members are entitled to change or select the payment method in account settings. We will pay Members the acquired User Commission, Deal Points, and applicable Rewards subject to the current payment schedule, as specified by the relevant membership tier. Rates of accrual will vary between Affiliate Stores’ schedules and policies. You should refer to those policies specifically should You have any questions. We are entitled to delay any due payments for purchases based on the relevant Affiliate Store’s policy or schedule changes. We are also entitled to change or otherwise delay Our own payment schedule at any time and for any reason. We shall not be responsible or otherwise liable for any payment errors, delays, or otherwise that may result from no fault of Our own, including payment errors, delays, or mistakes, oversights or otherwise that arise from acts or omissions made by Our partners or Affiliate Stores. The applicable payment amount shall not be returned to Your Account in the case that Your check expires prior to being deposited or cashed unless the check is returned to us in which case the applicable payment amount shall be returned to Your Account. Unless You take appropriate measures to maintain or return Your Account to an active status as described within the terms of this Agreement, any payments returned to Your Account may be subject to charges related to inactive Account maintenance.
3. Gift Cards. Occasionally, We may provide gift cards as a User Commission redemption offer or in relation to a specific promotion. Any gift cards shall be subject to the applicable terms, conditions, and policies that may be proscribed by the Affiliate Store that is the issuer of the gift card. We are in no way responsible for any payments, including gift cards, that may be stolen or lost.
4. Account Changes. We are entitled, in Our sole discretion, to deduct Deal Points represented in Your Account or make other changes and/or adjustments for cancellations, refunds, and returns in relation to purchases associated with Our Deal Points Services. Any such changes shall be made subject to the terms of this Agreement, Affiliate Store terms, Our terms and policies as applicable, and those rules, laws, and regulations of the relevant jurisdiction. Whether or not a purchase made through an Affiliate Store will qualify for Deal Points through Our Site, is determined by Us in Our sole discretion. We are entitled to suspend or cancel the Deal Points associated with the relevant transaction where an Affiliate Store may fail to make a payment or fail to report a transaction to Us. It is Your sole responsibility to monitor the status of Your Account and ensure Your Deal Points payments have been properly accounted for and are accurately represented in Your Account. Should You believe that such information is inaccurate, You will have [30] days from the date the commission amount becomes payable to contact Us at [email protected]. We are entitled, but not required, to make account adjustments as We see fit, and in Our sole discretion. All decisions made by Us shall be final. After such notification and adjustments by Us, Your only further remedy is to terminate Your Account and stop using Our Site, should You disagree with any such changes to Your Account.
5. Taxes. Subject to the local, state, and federal tax laws of the relevant jurisdiction, You may be taxed on any benefits, rewards, bonuses, or other forms of consideration received from Us. You shall be solely responsible for all tax liability that may arise from any of the forms of consideration obtained by You in relation to any promotional activities, member referrals, or other similar actions available to You through Our Site.
6. Expiration. Submissions resulting in Deal Points, or any other rewards are subject to review and approval by our team. If a Submission is rejected, You are notified by Our team, and if no reconciliation is initiated by You within 60 days from the date of rejection, the Deal Points that would have been received/awarded had Submission been successful will automatically expire and become void.
Account Maintenance.
1. Updates. You hereby acknowledge, understand, and agree that You are required to keep all personal account information up to date, accurate, and complete. This can be ensured by updating Your information in Your Account periodically. To change any of Your information provided on Our Site, You must be logged into Your Account using Your relevant, active username and password. You shall maintain confidentiality and security of Your personal account information, including Your username and password, always. We are permitted to act accordingly in response to all commands or instructions provided/communicated through Your Account. We shall not be responsible for any changes, debits, or credits made to Your Account should somebody else access Your password and other login credentials and make such commands. You must immediately notify Us and change Your password should there be a breach of Your Account’s security. You should use caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. We shall assume that any commands or instructions received by Us from Your Account is Your authorized command unless You have first and immediately notified Us of a breach to the security of Your Account. We shall not be required to investigate or otherwise question any such commands or instructions.
2. Activity. Your Account shall be deemed active (“Active Account”) if You have logged into Your personal Account on the Site within the last six (6) months. Unless prohibited by applicable laws or regulations of the relevant jurisdiction, should You fail to maintain an Active Account as described above, We are entitled to debit $100 from Your Account’s accrued value each month to obtain reimbursement for Our required maintenance of Your Account (“Inactive Fee”), until you have reverted Your Account to an Active Account. Such Inactive Fees are nonrefundable, but in no case shall cause the balance of Your Account to become negative. Where the balance of Your Account is or becomes zero ($0 USD), we are entitled, but not required, to permanently close Your Account and eliminate any of Your Account access or records. Immediately after an account becomes inactive, all deals posted to our website by the inactive user will be transferred to Our possession, Our subsequent transfer of these deals/assets back to the user is at Our sole discretion.
3. Fraudulent Activity. We are entitled, but not required, to question or further investigate any transactions, referral activity, or other interactions with Our Site should We, in Our sole discretion, have any reason to believe that such activity is causing harm, abusing our site, or breaking the terms of this Agreement or any related agreement. We are entitled to bar further awards and bonuses, rescind any Deal Points or User Commissions, and/or entirely terminate any Account that We, in Our sole discretion, have any reason to believe is causing harm or otherwise abusing Our Site, or breaching the terms of this Agreement or any related Agreement. Failure to comply with the terms of this Agreement, any abuse or fraud pertaining to Deal Points rewards, or any misrepresentations of information provided to Us by You or by anyone acting under Your authority, could result in Your Account being terminated and/or any Deal Points or other rewards being forfeited. Should We have any suspicion or reason for suspicion that any activity associated with Your Account is fraudulent, We are entitled to withhold or delay Deal Points payments to You. We shall review any suspected cases of fraudulent activity accordingly, with all determinations by Us deemed final.
4. Defamation. Any slanderous, defamatory, negative remarks, or otherwise regarding All Deals, or any of our Affiliates, partners or subsidiaries, may result in account termination, which shall be determined in Our sole discretion and deemed final. Upon such termination, all commission, rebates, bonus or other reward balances, and deals posted to our site, will be forfeited and transferred to All Deals.
5. The Trusted Buyer Program.The Trusted Buyer Program allows All Deals administrators to periodically assess buyer reputation as it pertains to specific sellers and brands. This review is conducted solely at the discretion of All Deals and does not guarantee that any buyer will be unblacklisted or regain access to deals from brands from which they were previously restricted.
  1. Discretion and Eligibility Buyer eligibility to participate in brand-specific deals, including any potential removal from blacklists, is determined exclusively by our internal criteria and procedures. All decisions made regarding eligibility are final and not subject to buyer influence or appeal.
  2. No Buyer Inquiries Permitted Buyers are expressly prohibited from contacting All Deals staff or administrators to request expedited eligibility review, seek updates on eligibility status, or inquire about specific criteria related to this program. Attempting to do so may impact eligibility status and result in adverse action on the buyer’s account.
  3. Ongoing Compliance Requirement To retain eligibility under the Trusted Buyer Program, buyers must remain in full compliance with all All Deals terms, conditions, and guidelines. Failure to adhere to these standards may result in re-blacklisting by the respective brand or an indefinite suspension of the buyer’s account on All Deals.
  4. Limitation of Liability All Deals disclaims any responsibility for buyer eligibility decisions or outcomes resulting from the Trusted Buyer Program. All Deals reserves the right to modify, suspend, or terminate this program at any time without prior notice.
Communications. By creating an Account, You hereby acknowledge, understand and agree that you may receive notices and communications from Us by way of electronic or direct mail and You consent to the receiving of such sent notices and Communications. Such Communications from Us may be related to shopping, relevant coupons and deals, as well as membership and Account information. Such communications include notices that We may be required to send to You under certain laws by way of direct mail or any other medium. We are permitted to use the information You provide to Us to either contact You by electronic mail or direct mail. You shall notify Us of any changes to Your email address that you make after the creation of Your Account. Regarding mobile applications, you acknowledge, understand and agree that We are permitted to send push notifications to You, and you consent to receipt of such push notifications, should You install a relevant mobile application. Should You provide Us with Your mobile phone number, you hereby acknowledge, understand and agree that We may contact You at any time for communications related to Account activation, recovery, or updates and You consent to such communications. During such processes, You may also receive recurring messages from Us, to which you hereby consent. In such cases, standard messaging rates may apply. Third Parties.
1. Social Sign On. Upon using or otherwise accessing Our Site or related software applications, services provided by third parties may be made available to You (“Third Party Platforms”). To make Your login process easier, Third Party Platforms are supported by Us, including, but not limited to, Google, Facebook, Instagram, Snapchat, Pinterest, TikTok and MeWe. Using any Third Party Platforms to login to Your Account on this Site shall be subject to the conditions, terms, and policies of the applicable Third Party Platform.
2. Inbox Connections. Upon using or otherwise accessing Our Site or related software application Services provided by Your Google email account credentials, the related Google email account shall be linked to Your account on this Site automatically. However, We may also permit You to link Your account to a different email account from another email service provider through the settings in Your Account. Connecting Your email account to Your Site Account shall not be required for You to be a Member of this Site. However, such connected accounts will allow Us to access the content of Your email account. We are entitled to use the content of Your email account to verify Your User Commission more reliably and quickly, and to otherwise individualize Your experience on Our Site or application. Community Standards. By engaging with this Site, you hereby understand that You shall be responsible for upholding the highest degree of community standards as prescribed in this paragraph. We reserve the right to terminate or suspend any Member’s access to the Site, without notice, who is found in violation of the terms of this paragraph, as decided by Us in Our sole discretion.
Code of Conduct. User hereby acknowledges, understands, and agrees that User shall and must abide by the Code of Conduct incorporated herein, as required by all Users. In addition to the requirement that user Conduct himself or herself in a legal and ethical manner, not to infringe on others’ intellectual property, not to defame other users nor All Deals staff in a public setting such as a chat room or bulletin board, and not to Harass, in any manner nor via any method, other users or staff of All Deals, whether such Harassing conduct occurs on a one-on-one basis, or otherwise. We reserve complete discretion to immediately terminate, revoke, and eliminate all benefits and rights associated with User membership, including membership itself, upon a determination of an occurrence of harassment or similar type prohibited conduct contemplated in this Terms of Use.
Ownership. All titles, rights, and interests in this Site, Our Content, Services and any other materials available through this Site belong to Us or Our licensors where applicable. We retain all titles, rights, and interests to the following trademarks, logos, and service marks (“Marks”): All Deals Name and Logo Mark, and all related names, logos, product service names, designs, and slogans that are trademarks of the Company or its affiliates or licensors Any of Our Marks shall not be used in association with any service or product that is not Ours, in any way that discredits or disparages Us, or in any other way that might confuse consumers or customers. Dispute Resolution.
1. Informal Disputes. We request that You address any concerns or disputes that may arise with Us directly prior to exploring formal dispute resolution processes. You hereby agree and understand that You are to allow Us the opportunity to respond to any disputes or concerns that may arise by submitting any such comments by email to [email protected] or through Our Contact Page at https://alldeals.com/contact. We will use Our best efforts to reasonably resolve the dispute or concern by contacting You directly by way of email communication. Should the dispute fail to be resolved within thirty (30) days from Your initial submission of the complaint, either Party is entitled to initiate a formal dispute resolution process, described in the following paragraph.
2. Arbitration. Both Parties to this Agreement hereby understand and agree that all claims, disputes, controversies, or otherwise that may arise out of, or in relation to, this Agreement, the Site, Content, Services, or otherwise against Us, Our employees, subsidiaries, and agents (“Disputes”), shall be resolved through the process of arbitration. Arbitration is a Dispute resolution process that is more informal and efficient than a traditional proceeding in federal or state court and uses an arbitrator that is a neutral party instead of a jury or judge. All decisions made by the arbitrator shall be binding, subject only to minimal review by courts in limited situations. The arbitrator, in its sole discretion, shall determine which Disputes are subject to the arbitration process. You hereby agree and understand that this Agreement’s interpretation and enforcement in arbitration shall be governed by the United States Federal Arbitration Act (more commonly referred to as the Federal Arbitration Act or FAA) federal arbitration laws.
3. Class Action Waiver. You hereby agree and understand that both Parties to this agreement are waiving the right to a trial by jury and the opportunity to bring any claims other than in Your individual capacity. Neither Party shall be entitled to act as a class member or a plaintiff in any representative proceeding, class action lawsuit, private attorney general action, or consolidated action. The arbitrator is not entitled to join any Party’s claim with another claim on the Dispute, nor issue any decision that achieves an equivalent result. Should this paragraph be found unenforceable for any reason, it may not be severed from this agreement to arbitrate, and the entire section compelling arbitration will be deemed void and null.
4. JAMS. In the case of arbitration, to the fullest extent permissible under the relevant laws of the local jurisdiction, all arbitration processes shall be administered by Judicial Arbitration and Mediation Services, Inc. (“JAMS”), in accordance with its Expedited Procedures and subject to its Comprehensive Arbitration Rules and Procedures, or subject to the JAMS’ Streamlined Arbitration Rules and Procedures (“Rules”). A copy of JAMS ADR Rules can be found online at https://www.jamsadr.com/adr-rules-procedures/. The arbitrator of the relevant Dispute shall be bound by the terms of this Agreement. For any Disputes arising out of this Agreement, the exclusive venue permissible for arbitration is Pinellas County, Florida.
5. Rejecting Provisions. Should We make any material changes to this provision regarding the arbitration process, regardless of those terms provided for in this Agreement to the contrary, You are entitled to reject any changes within thirty (30) days of such changes, by sending Us a notice in writing to ATTN: All Deals, 433 Central., Floor 4, Saint Petersburg, Florida 33701. Any prior arbitration provisions that You have already undertaken and to which You have previously agreed, shall remain in effect despite Your rejection of the updated arbitration provision. Similarly, this arbitration provision is entirely optional to You. You are entitled to opt out of or altogether decline this arbitration agreement by sending a signed and written notice to [ATTN: All Deals, 433 Central., Floor 4, Saint Petersburg, Florida 33701] within the first thirty (30) days of becoming a Member or from initially using or accessing any of Our Content, Services, programs, or otherwise.
6. Judgements. Any awards granted from the judgment of the arbitration may be entered in any relevant court having jurisdiction. Applications to the relevant court may also be made for an order of enforcement or a judicial acceptance of any award, as may be applicable.
Indemnification. You hereby understand and agree to indemnify Us, Our sellers, Affiliate Stores, as well as all respective employees, agents, affiliates, officers, and successors, against any damages, claims, causes of action, losses, attorney fees, and court fees that may arise out of, or otherwise be connected to, any materials provided by You or with Your Account credentials, Your breach of this Agreement, or otherwise. You hereby agree to cooperate with Us as may be necessary or otherwise required for the settlement of any claims, and in our defenses. Relating to any matter which may be subject to indemnification by You, We, in Our sole and reasonable discretion, are entitled, but not obligated, to assume entire control over the settlement and/or defense.
Warranty Disclaimer. All Our Services, Site, Content, and otherwise are provided “as- is,” and shall not include any implied or express warranty of any kind, including, but not limited to, any warranties of fitness for a particular purpose, non-infringement, merchantability, or title. Further, We provide no warranty of the accuracy, quality, completeness, validity, or reliability of any of the Content, Services, Site, programs, or otherwise, including, but not limited to, product descriptions, search results, product reviews, product availability, opinion, statement, pricing information, advice, recommendations, reviews, or any other information that may be viewable, uploaded, displayed, or distributed in relation to the Site. We also provide no warranty as to the functionality of the Site, and do not represent or warrant that any Site defects or problems will be resolved or corrected, that the Site or its related Content will be free of harmful technologies such as viruses, or that use of the Site will be without errors or interruptions. We do not represent, warrant, or otherwise guarantee that advertising for any of the affiliated products, content, or services provided by Affiliate Stores or other sellers will be accurate or of a certain quality.
Limitation on Liability. To the fullest extent permissible under the applicable laws of the relevant jurisdiction, in no way and in no event shall We be liable for any incidental, consequential, special, exemplary, statutory, punitive, or other indirect damages for any loss of data, profits or otherwise, or for loss of use damages, even where We have been advised of the possibility that such damages could occur. You hereby agree and understand, to the fullest extent permissible under the applicable laws of the relevant jurisdiction, that the maximum aggregate liability that may arise from the terms of this Agreement, shall not exceed one hundred U.S. dollars ($100) This limitation on liability applies to all causes of action or liabilities, regardless of how they have arisen, and shall include, but is not limited to, breach of contract, negligence, and any other claims whether in contract, equity, or tort.
Non-Disclosure Agreement. You hereby understand and agree, that by using this Site or its related Services, We may disclose confidential or proprietary information to You in certain circumstances. Such confidential information may include, but is not limited to, oral or written contracts, promotional methods, trade secrets, business policies, business methods, reports, memoranda, records, source code, computer retained information, technical information, operational information, notes, methodologies, systems, business information, notes, financial information, or any other information regarding products or Services (“Confidential Information”). By continuing to use this Site, you hereby agree to maintain the confidence of any such Confidential Information and that you shall not disclose any such information at any point during the term of this Agreement and in perpetuity.
Termination. When accepted by You, this Agreement shall be in effect and shall remain in effect until Your Account is terminated either by You or by Us under the terms of this Agreement. We are entitled to terminate this Agreement between You and Us at any time, and without cause, and thereby cease Your access or further use of Our Services. Further, should You violate any of the terms of this Agreement, We are entitled to terminate Your Account, revoke any rewards, User Commission or Deal Points balances owed to You. In Our sole discretion, and at any time, We are entitled to cancel, suspend, discontinue, limit, or change the scope of Your access to use or otherwise view all parts of this Site, including, but not limited to, any feature, functionality, Content, or other aspects of this Site, without any prior notice to You. You hereby understand and agree that We shall not be liable to You or any other related third party for any suspension, termination, modification, or revocation of Your access to the Site, or the Site itself. Unless otherwise provided for in this Agreement, Your sole and exclusive remedy for any dissatisfaction with this Site, its Content, or Our related Services, is to stop using this Site. All rights to access or use the Site, its Content, or Our related Services, as well as the right to receive payment of rewards, Deal Points, or User Commission balances, shall be terminated upon any termination of the Site. Neither Party shall be prejudiced by termination, in remedies in equity or at law.
Assignment. Without Our prior written consent, You are not entitled to transfer, assign, or otherwise grant to another Your obligations and rights under the terms of this Agreement, either in part or in whole. Any assignment or transfer without Our written consent shall be void and null. We are entitled to assign or transfer all rights and obligations under this Agreement without consent from You or any other User of the Site.
Choice of Law. The interpretation, construction, and enforcement of this Agreement, including those rights, responsibilities, and obligations of both Parties under this Agreement, shall be governed by the laws of the state of Florida, United States of America. This is without any regard to conflict of law provisions that may be contained within this Agreement. Any Disputes that may arise from the terms of this Agreement will be applied in the United States Federal or State Court in Florida.
Headings and Interpretation. Any titles or headings within this Agreement shall not affect the interpretation of any of the terms contained herein and are only used for convenience purposes. Any ambiguities contained in the reading or interpretation of this Agreement shall not be construed against Us as the drafting Party.
Severability. Unless otherwise stated, should any provision of this Agreement be deemed invalid, void, unlawful, or unenforceable, such invalidity shall not affect the validity of any other provisions of this Agreement, and all other provisions to this Agreement shall remain in effect to the fullest extent permitted by the applicable laws of the relevant jurisdiction.
Waiver. Any waiver by Us, failure to enforce, or otherwise act upon any provision provided in this Agreement on a single occasion shall not be considered a waiver of any other provisions provided in this Agreement, nor shall it be a waiver of the specific provision in future events.
